Proposals and Quotations

Any quotation, proposal, estimate, or project scope provided by Smart eWorks is based on the information available at the time of preparation.

A quotation or proposal may include project scope, deliverables, estimated timelines, payment terms, exclusions, assumptions, third-party costs, required client inputs, and other project conditions.

A project is considered approved only when the client confirms acceptance in writing and completes the required advance payment or approval process stated in the quotation, proposal, invoice, or agreement.

Unless clearly stated otherwise, quotations are valid only for the period mentioned in the quotation or proposal. If no validity period is mentioned, Smart eWorks may revise the quotation based on updated requirements, cost changes, timeline changes, or scope changes.

Project Scope and Deliverables

The project scope will be based on the approved quotation, proposal, invoice, project agreement, or written confirmation between Smart eWorks and the client. Services may include, depending on the approved scope:

  • Website design and development
  • WordPress development
  • Ecommerce website development
  • SEO and AI search optimization
  • Digital marketing
  • Google Ads and Meta Ads support
  • Automation and CRM setup
  • Hosting and domain support
  • Business email setup
  • Media production
  • Photography, video, and drone media
  • Social media content
  • Hotel technology setup
  • Booking engine setup
  • PMS setup guidance
  • Channel manager setup guidance
  • OTA setup
  • Website maintenance
  • Technical support
  • Consultation and training
Anything not clearly included in the approved scope will be treated as additional work and may require a separate quotation, written approval, and additional payment.

Changes and Revisions

Smart eWorks may include a reasonable number of revisions depending on the project type and approved scope. Revisions are intended to improve or adjust agreed deliverables. They do not include major changes to project direction, new features, new pages, new designs, new systems, additional integrations, or work outside the approved scope unless agreed separately.

Additional work may include:

  • Extra pages or new features
  • New integrations or additional design concepts
  • Additional content writing
  • Extra photography or video work
  • Advanced SEO work
  • Extra revisions beyond scope
  • New automation workflows
  • Additional plugin or software setup
  • Third-party tool setup not included earlier
  • Urgent or priority work outside agreed timeline
Any additional work must be approved in writing and may require additional payment.

Client Responsibilities

To complete projects properly, the client must provide accurate information, required access, content, approvals, feedback, and payments on time. The client is responsible for providing:

  • Business information, logo and brand materials
  • Text content, images and videos where applicable
  • Product or service details
  • Hotel, villa, tour, or destination details where applicable
  • Product prices and payment information where applicable
  • Domain, hosting, or website access where required
  • Google Business Profile, social media, analytics or ad account access where required
  • OTA, PMS, or booking platform access where required
  • Timely feedback and approvals
  • Accurate legal, policy, pricing, and business information

Delays in providing required information, access, content, or approvals may delay the project timeline. The client is responsible for ensuring that all information, content, images, videos, trademarks, and business details provided to Smart eWorks are accurate, lawful, and authorized for use.

Client Content, Images and Media

Clients must ensure that they have the right to use all text, images, videos, logos, brand materials, product information, testimonials, customer content, and other materials provided to Smart eWorks.

Smart eWorks is not responsible for copyright, trademark, privacy, licensing, model release, property release, or legal issues arising from client-provided materials.

If Smart eWorks provides photography, video, drone media, graphic design, or content creation services, ownership and usage rights will be based on the approved quotation, proposal, agreement, or written arrangement.

Unless otherwise agreed in writing, Smart eWorks may keep working files, project files, edited content, raw media, design files, backups, or production files according to internal project practices and may not be required to provide all editable source files.

Payments and Invoices

Payment terms will be stated in the quotation, proposal, invoice, agreement, or written confirmation. Smart eWorks may require advance payment before starting work. Work may be paused if required payments are delayed.

Payment stages may include:

  • Advance payment
  • Design or development milestone payment
  • Pre-launch payment
  • Final payment
  • Monthly service payment
  • Maintenance or support payment

The client must pay invoices on or before the due date stated in the invoice or agreement. Smart eWorks may withhold project delivery, website launch, access handover, files, reports, support, or continued service until outstanding payments are settled.

Bank charges, payment gateway charges, international transfer charges, taxes, currency conversion differences, and third-party payment fees may be the responsibility of the client unless otherwise agreed in writing.

Late Payments and Service Suspension

If payment is delayed, Smart eWorks may pause work, delay delivery, suspend support, disable unpaid services, or withhold access until payment is received.

For ongoing services such as hosting, website maintenance, SEO, digital marketing, automation, or support, delayed payment may result in service interruption.

Smart eWorks will not be responsible for loss of traffic, leads, sales, bookings, rankings, emails, website availability, campaign performance, or business impact caused by non-payment or delayed payment by the client.

Cancellations and Refunds

Cancellation and refund terms may vary depending on the service type, project stage, work completed, third-party costs, and approved agreement.

Advance payments, consultation fees, setup fees, planning fees, design work, development work, content work, SEO work, digital marketing work, photography, video production, automation setup, hosting setup, software setup, or third-party costs may be non-refundable once work has started or costs have been incurred.

If a client cancels a project after work has started, Smart eWorks may charge for completed work, time spent, third-party costs, commitments made, and project resources allocated.

Refunds, if applicable, will be reviewed case by case based on the approved scope, payment terms, work completed, and written agreement.

Third-party payments such as domain registration, hosting, software licenses, plugins, themes, payment gateway charges, advertising spend, platform fees, API fees, and subscriptions are generally non-refundable unless the third-party provider allows a refund.

Project Timelines and Delivery

Project timelines are estimates unless a fixed timeline is clearly agreed in writing. Timelines may be affected by:

  • Client delays or delayed content submission
  • Delayed approvals or change requests
  • Third-party platform delays
  • Hosting or server issues
  • Payment delays
  • Technical issues, software or plugin problems
  • API approval delays
  • Ad account or platform review delays
  • Government or regulatory approval delays
  • Weather conditions for photography, video, or drone work
  • Unexpected project complexity

Smart eWorks will make reasonable efforts to complete work within agreed timelines, but we are not responsible for delays caused by factors outside our control or delays caused by missing client inputs.

Third-Party Platforms, Tools and Services

Many Smart eWorks services may involve third-party platforms, tools, software, plugins, themes, hosting providers, domain registrars, payment gateways, analytics tools, advertising platforms, CRM tools, email platforms, SMS gateways, booking engines, PMS platforms, channel managers, OTAs, and social media platforms.

These third-party services may have their own terms, privacy policies, pricing, approval processes, restrictions, technical limitations, downtime, support policies, and refund rules.

Smart eWorks is not responsible for third-party platform decisions, account suspensions, approval delays, policy changes, price changes, downtime, data loss, technical issues, payment gateway approval, ad account restrictions, search engine ranking changes, OTA policy changes, or software provider changes. Clients are responsible for reviewing and accepting third-party terms where applicable.

Hosting, Domains and Business Email

If Smart eWorks provides hosting, domain, business email, DNS, SSL, backup, maintenance, or infrastructure support, the specific terms will depend on the approved service scope.

Domain names, hosting accounts, business email services, SSL certificates, VPS services, cloud services, and related tools may be provided directly by Smart eWorks or through third-party providers.

The client is responsible for renewing domains, hosting, email services, software licenses, subscriptions, and third-party services on time unless Smart eWorks has agreed in writing to manage renewals.

Smart eWorks is not responsible for loss of domain ownership, email downtime, website downtime, expired services, or business interruption caused by unpaid renewals, incorrect client information, third-party provider issues, DNS changes, server failures, or circumstances outside our control.

Website Maintenance and Support

Website maintenance may include updates, backups, security checks, form testing, technical fixes, small content updates, plugin updates, troubleshooting, or other support depending on the approved maintenance scope.

Maintenance does not automatically include major redesigns, new features, new pages, advanced development, malware recovery, SEO content writing, digital marketing work, or third-party subscription costs unless included in the approved scope.

Smart eWorks may not be responsible for issues caused by client changes, third-party developer changes, plugin conflicts, theme issues, hosting problems, malware, weak passwords, expired licenses, unsupported software, or unauthorized access.

Ecommerce and Payment-Related Services

For ecommerce websites, product catalog websites, WooCommerce stores, online shops, payment gateway setup, cash on delivery setup, bank transfer flow, or product-related websites, the client is responsible for providing accurate product information, prices, stock details, delivery information, return policies, privacy policies, payment terms, and legal business information.

Smart eWorks may support website setup and payment flow coordination, but payment gateway approval, merchant account approval, banking requirements, tax obligations, consumer obligations, financial compliance, refund handling, delivery fulfilment, product quality, product warranties, and customer service remain the responsibility of the client.

The Consumer Affairs Authority in Sri Lanka provides redress for consumers affected by unfair trade practices, so ecommerce and retail clients should ensure that product descriptions, pricing, policies, warranties, guarantees, and customer communication are accurate and fair.

SEO, Digital Marketing and Advertising Results

Smart eWorks may provide SEO, AI search optimization, digital marketing, Google Ads, Meta Ads, social media marketing, email marketing, SMS marketing, content creation, campaign strategy, and related services. We make reasonable efforts to improve visibility, traffic, inquiries, engagement, leads, conversions, and campaign performance based on the approved scope.

However, Smart eWorks does not guarantee:

  • First-page Google rankings or specific keyword rankings
  • Specific AI search visibility
  • Specific traffic, lead, sales, or booking numbers
  • Specific ad cost per lead or return on ad spend
  • Approval by Google, Meta, or other platforms
  • Permanent search rankings or no competitor movement
  • No algorithm changes by search or social platforms

Search engines, social platforms, advertising systems, AI search tools, and third-party platforms may change their algorithms, policies, approvals, ranking systems, and performance behavior at any time.

Hotel Technology, Booking Engine, PMS, Channel Manager and OTA Services

Smart eWorks may provide hotel technology support such as booking engine setup, PMS setup guidance, channel manager setup guidance, OTA setup, MyHotelBoss support, direct booking strategy, WhatsApp automation, Google Business Profile support, hotel website support, and related services.

Smart eWorks may help with setup, coordination, content, mapping guidance, workflow planning, and training. However, third-party hotel technology platforms may have their own terms, API restrictions, subscription costs, approval processes, support rules, technical limits, and system availability.

Smart eWorks is not responsible for overbookings, OTA policy changes, channel manager sync errors, PMS provider issues, booking engine provider issues, payment gateway failures, guest cancellation disputes, refund disputes, third-party platform downtime, or incorrect data entered by the client or hotel staff. Hotels, villas, and accommodation providers are responsible for checking rates, availability, room mapping, guest policies, cancellation policies, payment terms, and booking details before going live.

Access Credentials and Account Security

Clients may need to provide access to websites, hosting, domains, email accounts, Google accounts, Meta accounts, ad accounts, analytics tools, OTAs, PMS tools, booking engines, channel managers, CRM systems, or other platforms.

Clients must provide accurate access details and ensure they have authority to grant access. Smart eWorks will take reasonable care when handling access credentials. However, clients should use strong passwords, two-factor authentication where possible, and remove or update access after project completion where necessary.

Smart eWorks is not responsible for issues caused by weak passwords, shared access, unauthorized users, client-side security failures, third-party breaches, or access changes made by others.

Intellectual Property and Ownership

Unless otherwise agreed in writing, Smart eWorks owns or retains rights to its own methods, processes, templates, frameworks, know-how, designs, code snippets, systems, internal tools, reusable components, proposal formats, strategy documents, and project management materials.

After full payment is received, the client may receive usage rights to the final approved website, designs, graphics, content, or deliverables created specifically for the client, subject to the approved agreement and any third-party license restrictions.

Third-party tools, plugins, themes, fonts, stock images, software, SaaS platforms, APIs, templates, or licensed materials remain subject to their respective license terms.

Clients may not resell, redistribute, copy, or reuse Smart eWorks internal materials, proposals, strategies, unpublished designs, templates, or source files without written permission.

Portfolio, Case Studies and Marketing Use

Unless the client requests otherwise in writing, Smart eWorks may mention completed projects in its portfolio, case studies, proposals, social media, website, presentations, or marketing materials. This may include:

  • Client name and project name
  • Website link and screenshots
  • Publicly visible website images
  • Services provided and project category
  • General project description
  • Results or outcomes where approved

Smart eWorks will not intentionally publish confidential information, private login details, sensitive business data, unpublished financial information, private customer data, or confidential project documents without permission. If a client does not want a project to be shown in the Smart eWorks portfolio, this should be communicated in writing.

Confidentiality

Smart eWorks and the client may share business information, project details, access credentials, documents, strategies, pricing, customer data, or other confidential information during a project. Both parties should take reasonable care to protect confidential information and use it only for the purpose of the project or agreed service.

Confidentiality does not apply to information that is publicly available, already known, independently developed, approved for disclosure, or required to be disclosed by law or authority.

Privacy and Data Protection

  • Unauthorized use of images, videos, trademarks, or copyrighted materials
  • Client products or services
  • Client pricing, policies, claims, warranties, or guarantees
  • Third-party platform violations caused by client actions
  • Legal or regulatory non-compliance by the client
  • Misuse of website, tools, accounts, or services
  • Customer disputes related to the client's business
  • Payment, delivery, refund, or product quality issues in client ecommerce projects

Events Outside Our Control

Smart eWorks will not be responsible for delays, failures, or interruptions caused by events outside our reasonable control. These may include:

  • Internet failures, server outages, or cyberattacks

Termination of Services

  • The client misuses Smart eWorks services or team members
  • Required access, content, or approvals are not provided
  • The project becomes technically or legally impossible
  • There is abusive, threatening, or inappropriate conduct
  • Third-party platforms reject or restrict required access or approval

The client may request termination of a service according to the cancellation terms stated in the approved proposal, invoice, agreement, or written arrangement.

Governing Law

These Terms & Conditions are governed by the laws of Sri Lanka, unless otherwise stated in a written agreement.

If a dispute arises, both parties should first try to resolve the matter through good-faith discussion. If the dispute cannot be resolved through discussion, it may be referred to the appropriate courts, authorities, or dispute resolution process in Sri Lanka, subject to the applicable agreement and law.

Changes to These Terms & Conditions

Smart eWorks may update these Terms & Conditions from time to time to reflect changes in our services, website, legal requirements, technology, third-party tools, or business practices.
